Resolution approving the Second Amendment to TC96105A Contract # GRP0000023 between City, acting by and through its Office of Contract Administration, and Canon U.S.A., Inc. for copier machine leases, rentals, and purchases; to increase the contract amount by $6,300,000 for a total not to exceed amount of $15,300,000 with no changes to the contract term of six years, eight months, and 15 days of April 1, 2024, through December 15, 2030; and to authorize the Office of Contract Administration to make necessary, non-material changes to the Amendment prior to its final execution by all parties that do not materially increase the obligations or liabilities to the City and are necessary or advisable to effectuate the purposes of the Agreement.

The University of California issued RFP #00811-FEB2020 for Print Goods and Services, which included copier leases and rentals.

The City entered into an agreement with Canon Solutions America, Inc. for copier leases and rentals, with a not-to-exceed amount of $9,000,000.

A Novation Agreement was executed to transfer obligations from Canon Solutions America, Inc. to Canon U.S.A., Inc.

The First Amendment was executed to extend the contract term to December 15, 2030, without changing the not-to-exceed amount.

The Office of Contract Administration reviewed the usage of the Canon contract and determined that the current not-to-exceed amount was approaching its limit.

A resolution was drafted to approve the Second Amendment to increase the contract amount by $6,300,000 to a total not to exceed amount of $15,300,000.

The resolution was received and assigned to the appropriate committee for further action.
