Resolution authorizing the Port of San Francisco (“Port”) to execute the First Amendment to Management Agreement 16114 between the Port Commission and Pasha Automotive Services, a California corporation (“Pasha”), amending Management Agreement 16114 to discontinue a $50,000 monthly Management Fee paid by the Port to Pasha; adopt revised revenue sharing and special event provisions; restructure Pasha’s exclusive use of the Port’s Pier 80 terminal; and authorize the Port to enter into amendments or other modifications to the First Amendment to Management Agreement 16114 that do not materially increase the obligations or liabilities to the City or the Port.

The Port entered into Management Agreement 16114 with Pasha, granting them exclusive rights to operate Pier 80 for a fifteen-year term with a $50,000 monthly management fee.

The number of automobiles imported and exported through Pier 80 significantly decreased, leading to concerns about the financial viability of the existing agreement.

The Port began hosting the Portola Music Festival at Pier 80, generating significant revenue and indicating a shift towards utilizing the terminal for non-maritime events.

The Port Commission adopted Resolution 26-36, approving the First Amendment to the Management Agreement, which included discontinuing the monthly management fee and restructuring revenue sharing.

Supervisor Walton introduced the resolution to the Board of Supervisors for approval, following the Port Commission's endorsement of the First Amendment.

The Board of Supervisors reviewed the proposed First Amendment to the Management Agreement with Pasha Automotive Services.
